Feb. 24, 2011 (Filing Services Canada) -- Mega Precious Metals Inc.  (MGP - TSX Venture), ("Mega" or the "Company") has successfully completed its previously announced bought deal public offering of flow-through common shares (the "Flow-Through Shares") as described in Mega's news release dated January 19, 2011. Including the Flow-Through Shares issued on the exercise of the underwriters' over-allotment option, Mega issued 14,375,000 Flow-Through Shares at a price of $0.80 per share for aggregate gross proceeds of $11,500,000 before expenses of the offering. The offering was completed through a syndicate of underwriters led by Stonecap Securities Inc. and including Octagon Capital Corporation.

The gross proceeds from the sale of the Flow-Through Shares will be spent to incur Canadian Exploration Expenses on Mega's Canadian exploration properties so that they qualify as "flow-through mining expenditures". Mega will renounce such Canadian Exploration Expenses with an effective date of no later than December 31, 2011.
